Amadeus Fire AG Annual General Meeting Approves All Agenda Items and New Authorised Capital 2026

Amadeus Fire AG (ISIN: DE0005093108, Prime Standard) held its Annual General Meeting on May 28, 2026, in a virtual format broadcast live from Frankfurt/Main. The meeting allowed shareholders to participate remotely and engage in a transparent dialogue with the Management Board. All agenda items were approved by overwhelming majorities, signaling strong shareholder confidence in the company's strategic direction and corporate governance.

A key highlight was the approval (78.17%) of the new Authorised Capital 2026, which allows the company to issue up to 30% of existing share capital over the next five years, replacing the previous Authorised Capital 2021. This provides the group with financial flexibility to pursue growth opportunities. The discharge of the Management Board and Supervisory Board for fiscal year 2025, as well as the remuneration report, also received broad support. Shareholders elected the auditor for 2026 and sustainability reporting, and re-elected shareholder representatives to the Supervisory Board for the next three years.

In light of the negative consolidated result, the proposal to not pay a dividend and carry forward net retained profit was approved by nearly 100% (99.88%). The Management Board addressed shareholder questions comprehensively, providing insights into current business developments and strategic priorities, including investments in digital transformation and the 'Corporate AI Learning' initiative.

Despite a persistently challenging economic environment, the Amadeus Fire Group remains on track in the first quarter of 2026. The group continues to invest selectively in modern learning platforms and IT infrastructure to strengthen competitiveness. The Management Board reaffirmed guidance for fiscal year 2026, expecting consolidated revenue between EUR 362 million and EUR 394 million and operating EBITA* between EUR 20 million and EUR 31 million. Explanations of alternative performance measures are available in the Annual Report 2025.

The Amadeus Fire Group, headquartered in Frankfurt/Main, is one of Germany's leading providers of personnel services and professional training, focusing on placing specialized professionals and executives, as well as training in commercial and IT sectors.
