Angkor Resources Announces AGM Results and Appointment of Dr. David Johnson to Board

Angkor Resources Corp. (TSXV: ANK) announced the voting results from its Annual General Meeting of Shareholders held on January 29, 2026, where all resolutions were approved, including the appointment of Dr. David Johnson to the Board of Directors. The meeting saw 96,855,431 common shares voted, representing approximately 47.78% of outstanding shares.

Shareholders voted in favor of reappointing Davidson & Company LLP as auditors, setting the number of directors at six, electing all six nominees including Dr. Johnson, approving the rolling stock option plan, and crucially, approving the sale of the Company's 40% participating interest in the Evesham Macklin oil and gas lands in Saskatchewan for $4,800,000. The sale, which was a fundamental transaction requiring shareholder approval, received over 99% support. It removes a $3,800,000 debt and provides $1,000,000 in net proceeds, allowing the Company to redirect resources to its onshore Cambodian Block VIII project for potential growth.

Dr. David Johnson, a geoscientist with over 40 years of global exploration and production experience, joins the board effective January 29, 2026. His extensive background includes work with Shell, ExxonMobil, Husky Energy, and others, covering more than 40 petroleum jurisdictions. CEO Delayne Weeks commented, "On behalf of the Company, I would like to thank shareholders for their participation and continuing support. We welcome Dr. Johnson to the Board." The Company also acknowledged the retirement of long-time directors Steve Cochrane and Scott Smith, expressing gratitude for their contributions.

The strategic sale of oil and gas assets aligns with Angkor's focus on its Cambodian operations. Through its subsidiary EnerCam Resources, the Company holds an onshore oil and gas license for Block VIII, covering approximately 4,095 square kilometres after adjustments. With seismic work completed in 2025, Angkor aims to identify drill targets and advance to drilling Cambodia's first onshore exploratory wells. More details on the transaction can be found in the original announcement: Angkor Resources Signs Letter of Intent to Sell Evesham Oil Production.

Angkor Resources Corp. is a resource optimizer listed on the TSX Venture Exchange, working towards mineral and energy solutions in Cambodia. Its mineral subsidiary holds two exploration licenses with copper and gold prospects. The Company's forward-looking statements reflect expectations of advancing resource development and creating shareholder value, though they involve risks and uncertainties that could cause actual results to differ.
