Branicks Creditors Approve Restructuring with 99% Vote, Extending Maturities to 2030

Branicks Group AG announced that holders of its 400 million euro corporate bond, originally due in 2026, voted 99% in favor of restructuring the company's liabilities. The vote also endorses the financial restructuring plan developed by the company, marking a critical step in addressing its debt obligations. The restructuring covers bonds, promissory note loans, and registered bonds, setting a new maturity date of September 30, 2030, for 375 million euros and September 30, 2028, for an additional 220 million euros.

The overwhelming creditor support signals confidence in Branicks' restructuring strategy, which aims to stabilize the company's finances amid a challenging real estate market. "Our creditors' vote is a sign of confidence in our restructuring plan. With the time we've gained, we can now refocus fully on our business and use our resources and expertise to capitalize on opportunities in what remains a challenging market for us," said Josef Schultheis, Chief Restructuring Officer at Branicks Group AG. The extended maturities provide the company with breathing room to execute its operational turnaround and reduce financial pressure.

Following the creditors' decision, several technical requirements for implementation still need to be clarified in the coming weeks. The goal is for the restructuring plan to take effect by the end of the 2026 fiscal year, or by March 31, 2027, at the latest. This timeline underscores the urgency and complexity of finalizing the agreement, but the strong creditor backing increases the likelihood of a successful execution.

In a related move, Branicks Group AG terminated, by mutual agreement, its consulting agreements with MDC Matthias Danne Consulting GmbH and BLACKLAKE Management Partners GmbH, whose managing directors are Supervisory Board members Dr. Matthias Danne and Dr. Johannes Conradi, respectively. Both firms have notified the company that they have entered into service agreements with a company financed by the creditors. This development may be seen as aligning the supervisory board's interests more closely with those of the creditors, potentially enhancing governance and oversight during the restructuring process.

The restructuring is significant because it addresses nearly 600 million euros in liabilities, extending maturities by several years and alleviating immediate repayment pressure. For Branicks, a leading German listed specialist for office and logistics real estate with properties valued at 10.1 billion euros as of June 30, 2026, the successful vote provides a foundation to stabilize operations and pursue growth opportunities. The company's ability to secure such strong creditor support reflects the viability of its plan and may bolster investor confidence.
