CyberloQ Restructures Balance Sheet and Kicks Off Tech Integration with MSCG Joint Venture

CyberloQ Technologies, Inc. (OTCQB: CLOQ) has completed a balance-sheet restructuring and commenced initial technology-integration activities through its CyberlogiQ joint venture with Michigan Secure Capital Group Corp. (MSCG), according to a company announcement. The dual developments matter because they address two persistent challenges for small-cap technology firms: reducing burdensome debt obligations and securing the technical and financial runway needed to bring integrated cybersecurity products to market.

On the financial side, CyberloQ has restructured its outstanding convertible notes, eliminating the conversion rights associated with the prior notes. Under the amended arrangements, approximately $850,000 in accrued and unpaid interest has been converted into shares of common stock at $0.10 per share, subject to contractual terms and issuance requirements. Participating noteholders also agreed to suspend ordinary interest accrual from September 1, 2026 through September 1, 2028. That two-year pause is significant because it gives the company additional financial flexibility as it advances its business and technology initiatives, and the restructuring is intended to reduce outstanding obligations and support management’s longer-term operating strategy.

The equity conversion also has implications for the company’s capital structure. CyberloQ’s voting stockholders authorized an increase in the company’s share structure, including 200 million shares of Class B non-voting common stock, to support the CyberlogiQ joint venture with MSCG. The authorization signals shareholder backing for the strategic collaboration and provides the share capacity the company says it needs to structure the venture and related initiatives.

The technology-integration phase is now underway, with the companies’ respective teams beginning coordinated work to align their complementary cybersecurity, authentication, and digital-trust capabilities. The joint venture is intended to provide a structured environment for the development and commercialization of integrated cybersecurity products and future authorized technology services. This initial phase emphasizes technical coordination, evaluation of integration requirements, and development planning. For investors and industry observers, the commencement of integration work is an important milestone because it moves the collaboration from a strategic agreement into operational execution.

“These developments represent important steps forward for CyberloQ as we strengthen our financial position and advance our strategic collaboration with MSCG,” stated Chris Jackson, President and CEO of CyberloQ Technologies, Inc. “Our initial integration activities are underway, and we believe the combination of our respective technologies creates opportunities for future product development and commercial expansion.” Jackson added that the company looks forward to providing shareholders with additional technical updates and product-development milestones as the teams advance the initiative.

CyberloQ intends to provide further updates regarding material developments in its technology integration, product initiatives, and strategic commercialization activities as appropriate.
