Falco Resources Ltd. (TSX.V: FPC) confirmed that all five nominees listed in its Nov. 4, 2025, management information circular were elected to the Board of Directors at its recent annual general meeting. Alexander Dann has been appointed Chair of the Board, succeeding Mario Caron, who continues as lead director. The company also announced that shareholders approved the appointment of PricewaterhouseCoopers LLP as auditor, reaffirmed the company's rolling 10% long-term incentive plan, and approved amendments to the existing OR Royalties convertible secured senior loan, including the issuance of warrants.
These developments are critical for Falco as they ensure continuity in leadership and provide the necessary shareholder support for the company's financing strategy. The approval of amendments to the OR Royalties convertible secured senior loan and the issuance of warrants are part of Falco's broader efforts to secure funding for its flagship Horne 5 project. Additionally, Falco confirmed the closing of previously announced senior debt transactions with OR Royalties Inc. and Glencore Canada Corporation, effective Dec. 31, 2025.
Falco is one of the largest mineral claim holders in the province of Québec, with an extensive portfolio of properties in the Abitibi-Témiscamingue greenstone belt. The company holds rights to approximately 63,000 hectares of land in the Noranda Camp, which represents 63% of the camp and includes 13 former gold and base metal mining sites. Falco's main asset is the Horne 5 project, located beneath the former Horne mine, which was operated by Noranda from 1927 to 1976 and produced 11.6 million ounces of gold and 2.5 billion pounds of copper. Osisko Development Corp. is Falco's largest shareholder, with an approximate 16% interest in the corporation.
The Horne 5 project is a significant development-stage gold asset in a prolific mining district. The successful completion of these corporate and financial milestones positions Falco to advance the project toward production. The appointment of Alexander Dann as Chair brings experienced leadership to guide the company through its next phases.
