Falcon Energy Materials plc (TSX-V: FLCN) announced the results of its annual general meeting of shareholders held on June 18, 2026, where all eight director nominees were elected and the appointment of external auditors was approved. Shareholders also ratified the Company's Amended and Restated Security Based Compensation Plans, increasing the number of ordinary shares reserved under the plans from 22,764,466 to 34,016,078. The plans, which include the Amended and Restated Stock Option Plan, Deferred Share Units Plan, and Restricted Units Plan, are subject to final approval by the TSX Venture Exchange.

At the AGM, a total of 38,944,710 ordinary shares, representing 22.90% of the Company's issued and outstanding shares, were represented. Each director nominee received a majority of votes cast, with detailed results provided in the management proxy circular. PricewaterhouseCoopers LLP and Grant Thornton Audit and Accounting Limited were reappointed as external auditors for the ensuing year, with directors authorized to fix their remuneration.

The approval of the increased share compensation plans is a strategic move to align management and employee incentives with shareholder interests, supporting Falcon's ambitious goal of becoming a premier provider of natural Coated Spheroidized Purified Graphite (CSPG) for energy storage solutions.
