Instinct Bio Technical Company Holdings Inc. (Nasdaq: BIOT) announced today that its subsidiaries have entered into a Memorandum of Agreement with Invitrx Therapeutics, Inc. (INVITRX) to expand the GENREVER cosmetics brand into the United States and advance regenerative medicine projects in Indonesia. The collaboration builds on a six-year commercial relationship in which Instinct Bio sourced raw materials from INVITRX.
Under the proposed framework, Instinct Bio will license the GENREVER trademark, and its subsidiary Artisans Production Co., Ltd. will contribute proprietary formulations and raw materials. INVITRX is expected to manufacture GENREVER products at its U.S. GMP manufacturing facility, positioning the brand as a premium Japanese cosmetics line in the U.S. market, subject to regulatory approvals.
In parallel, the parties intend to collaborate on Indonesia's emerging regenerative medicine ecosystem. INVITRX may supply concentrated exosomes and conditioned media to support proposed clinics and an in-hospital cell processing center and laboratory in Indonesia. This initiative could establish a localized regenerative medicine platform in one of Asia's fastest-growing healthcare markets.

The parties will negotiate definitive commercial agreements covering manufacturing, supply, and commercialization while progressing regulatory assessments. The MOA establishes a framework, and there is no assurance that definitive agreements will be finalized. The collaboration highlights the growing intersection of Japanese product innovation and U.S. manufacturing expertise in the regenerative medicine and cosmetics sectors.
