Leonteq Shareholders Approve All Board Proposals at 2026 Annual General Meeting

ZURICH — Leonteq AG announced today that shareholders approved all proposals put forward by the Board of Directors at the company's Annual General Meeting held in Zurich. The meeting, which saw attendance representing approximately 64% of issued shares, marked a decisive endorsement of the board's strategic direction and governance structure.

Of the 13,705,578 issued shares, 102 shareholders attended in person, representing 453,102 shares, while the independent proxy represented 1,152 shareholders with 11,252,476 shares, bringing total attendance to 11,705,578 shares. All five incumbent members of the Board of Directors were re-elected for a one-year term, and Christopher Chambers was re-elected as Chairman. Shareholders also elected Barbara Heller and Juerg Steiger as new independent members, expanding the board to seven members.

In addition to director elections, shareholders approved the Management Report, Consolidated Financial Statements, and Financial Statements for the 2025 financial year. The Sustainability Report 2025 and Compensation Report 2025 were both approved in advisory votes. Other approved proposals included the allocation of retained earnings, re-election of the Nomination and Remuneration Committee members, re-appointment of statutory auditors and independent proxy, and changes to the Articles of Association. Compensation for the Board of Directors and the Executive Committee was also ratified.

The newly constituted Board of Directors and committee compositions were announced following the meeting. Christopher Chambers will chair the Board and also serve on the Audit and Risk Committee, while Philippe Weber takes the role of Vice-Chairman. Barbara Heller chairs the Audit and Risk Committee, with Thomas Meier and Juerg Steiger as members. Philippe Le Baquer chairs the Nomination and Remuneration Committee, with Philippe Weber and Sylvia Steinmann as members.
