LifeQuest World Corp. (OTCID: LQWC) announced the completion of its acquisition of an established Pacific Northwest waste management equipment company, effective June 12, 2026. The all-equity transaction transforms LifeQuest from a development-stage holding company into a revenue-generating, multi-subsidiary environmental services platform with operations spanning the United States, Europe, Africa, Asia, and the Middle East.

The acquired business, operating through two Oregon corporations, provides commercial waste management equipment sales, rentals, service, and maintenance to businesses, institutions, and municipalities across Oregon, Washington, Idaho, and Montana. For the fiscal year ended December 31, 2025, it generated approximately $3.5 million in revenue and reported normalized pre-tax income of approximately $211,000, excluding non-recurring charges. The acquisition adds immediate revenue and a diversified customer base that includes national retailers, hospital networks, hotel brands, and municipalities.

The acquisition was structured with no cash consideration, issuing 3,338,290 shares of Series B Preferred Stock and an $85,000 unsecured promissory note. LifeQuest now operates through three wholly-owned subsidiaries: BioPipe Global Corp., a decentralized wastewater treatment technology company, and the two Oregon-based waste management companies. BioPipe's patented biological wastewater treatment system produces no sludge and requires no chemicals, with installations in 11 countries.

LifeQuest outlined a strategic roadmap following the acquisition: engaging a PCAOB-registered auditor for a consolidated audit, filing a Form S-1 or Form 10 with the SEC, conducting a 1-for-40 reverse stock split, and applying for uplisting to the OTCQB Venture Market. The company believes the revenue foundation from the acquired business is essential for credible SEC registration and uplisting.
