MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) announced an agreement to sell its wholly owned subsidiary, MAX Power Resources LLC, which holds the Willcox Playa Lithium Project in Arizona, to Homeland Critical Minerals Corp. The transaction involves MAX Power receiving 11 million Homeland shares valued at approximately $1.1 million, representing just under 50% of Homeland’s currently outstanding shares. This strategic divestiture allows MAX Power to sharpen its focus on Natural Hydrogen exploration while retaining significant exposure to the future development of the Willcox Project.
The company stated that the divestiture enables management to concentrate capital, technical expertise, and execution on the Lawson Natural Hydrogen Complex and the broader Genesis Trend in Saskatchewan. MAX Power has built dominant district-scale land positions across Saskatchewan with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. The Lawson Discovery near Central Butte, Saskatchewan, represents Canada’s first-ever subsurface Natural Hydrogen system confirmed through deep drilling with data validated by three independent labs.
MAX Power also retains a portfolio of properties in the United States and Canada focused on critical minerals, highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project. The transaction with Homeland is expected to close on or about June 17, 2026, subject to customary conditions and regulatory approvals, including any required approval from the Canadian Securities Exchange.

The divestiture underscores MAX Power’s strategic pivot toward Natural Hydrogen, a nascent but potentially transformative energy source. By shedding the lithium asset, MAX Power can allocate resources more efficiently to advance its hydrogen projects, which have garnered attention as a clean energy alternative. The move also provides Homeland with a valuable lithium project that could see further development under new ownership.
MAX Power is committed to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance. The company’s focus on decarbonization aligns with global trends toward reducing carbon emissions and transitioning to sustainable energy sources.
