The shareholders of Medartis Holding AG (SIX: MED) today approved all substantive proposals of the Board of Directors with significant majorities exceeding 90.9% at the company's 2026 Annual General Meeting (AGM) held in Basel, Switzerland. The meeting saw strong participation, with 77.4% of total share capital represented, underscoring shareholder confidence in the company's governance and strategic direction.
Seven incumbent board members were re-elected with resounding endorsement, each securing more than 93.8% of represented votes. Yang Xu was newly elected to the Board of Directors with 99.7% endorsement and will join the Finance and Audit Committee, bringing fresh expertise to the oversight of financial reporting and internal controls. Chairman Marco Gadola will continue to lead the board, while Jennifer Dean, after two years of service, decided not to stand for re-election.
In addition to board elections, shareholders granted discharge to board members for their governance during the 2025 term. The maximum total remuneration for both the Board of Directors and the Executive Management Board, including fixed and variable components, was approved through separate votes. The 2025 management report and annual financial statements received nearly unanimous approval at 99.99%, while the remuneration report was approved by 91.0% in a consultative vote. The sustainability report also gained strong endorsement, with 99.2% support, confirming Medartis’ commitment to transparent ESG practices.

Medartis also announced upcoming investor events: an Investor Visitor Day on June 4, 2026, held on the fringes of the FESSH Hand Surgery Congress in Basel, providing an opportunity for institutional investors to engage with management. The first-half 2026 results will be published on August 18, 2026, followed by an analyst and media briefing. The next AGM is scheduled for April 22, 2027, at the company's headquarters in Basel.
