Nuvectis Pharma Prices $100 Million Public Offering to Advance Pipeline Programs

Nuvectis Pharma, Inc. (NASDAQ: NVCT) announced the pricing of its previously disclosed underwritten public offering of 5 million shares of common stock at $20.00 per share, expected to generate gross proceeds of approximately $100 million. The offering includes a 30-day option for underwriters to purchase up to an additional 750,000 shares at the same price, less underwriting discounts and commissions. The transaction is anticipated to close on or about July 1, 2026, subject to customary conditions.

The company stated that the net proceeds will be used to advance development of its NXP100, NXP200, and NXP900 programs, support future product candidates, hire additional personnel, fund capital expenditures, and cover general corporate purposes. Cantor is serving as the sole book-running manager, with H.C. Wainwright & Co., Laidlaw & Company (UK) Ltd., Lucid Capital Markets, Maxim Group LLC, Roth Capital Partners, and Titan Partners acting as co-managers.

Nuvectis Pharma is a clinical-stage biopharmaceutical company focused on innovative therapies for immune complement-related conditions and oncology. Its pipeline includes NXP100, a late-stage complement Factor B inhibitor with potential as a once-daily oral treatment for complement-mediated diseases; NXP900, an oral small molecule inhibitor of the SRC Family of Kinases targeting SRC and YES1; and NXP200, an oral, brain-penetrant BRAF inhibitor for BRAF V600X-mutated and Class II/III non-V600-mutated solid tumors, including central nervous system cancers, colorectal cancer, melanoma, and non-small cell lung cancer.

The capital raise is significant as it provides Nuvectis with resources to progress its pipeline toward clinical milestones. The NXP100 program could address a need for convenient oral therapies in complement-mediated diseases, while NXP200 aims to offer a best-in-class option for BRAF-mutated cancers, including those with brain metastases. The offering also reflects investor confidence in the company's strategy and the potential of its candidates.
