Redwood AI Corp. (CSE: AIRX) (OTCQB: RDWCF) (Frankfurt: Y0N) (WKN: A422EZ) has announced the completion of its acquisition of all issued and outstanding shares of Quantum.IQ Technologies Inc., a Vancouver-based quantum cybersecurity company. This strategic move expands Redwood's technology base with capabilities focused on cryptographic visibility, quantum-readiness assessment, and security infrastructure planning.
Quantum.IQ's Post-Quantum Cryptography (PQC) platform is designed for high-security organizations in government, defence, financial services, and critical infrastructure. The platform supports cryptographic asset discovery, Cryptographic Bill of Materials creation, standards alignment, vulnerability management, migration planning, continuous monitoring, and executive-level reporting. As quantum computing advances, traditional encryption methods are at risk, making quantum-ready solutions essential for protecting sensitive data.
The acquisition consideration includes up to 14,033,558 common shares issued at a deemed price of $2.98 per share. Of these, 7,033,558 shares are subject to staged escrow over 24 months, and up to 7 million additional shares are held in milestone escrow tied to specific customer and revenue criteria. Additionally, 50,000 shares were issued as an administrative fee and 100,000 shares as a finder's fee.
This acquisition positions Redwood AI at the forefront of cybersecurity innovation, addressing a critical need as organizations worldwide prepare for the quantum era. According to industry experts, the transition to post-quantum cryptography is not a matter of if, but when, and companies that act early will have a competitive advantage in securing their digital infrastructure.
