Shelly Group Announces Dividend Payment Terms Following Shareholder Approval

Shelly Group SE, a provider of IoT and smart building solutions, today announced the terms for its dividend payment following the resolution passed at the General Meeting of Shareholders on June 29, 2026. The Board of Directors has set the initial payment date for July 28, 2026, with the final date for payment being July 28, 2027. This decision formalizes the distribution of dividends to shareholders as approved earlier.

The dividend payment will be processed through the Central Depository AD, adhering to the requirements of the Public Offering of Securities Act and Ordinance 8 dated November 12, 2003, issued by the Financial Supervision Commission. For shareholders whose securities are held in Register A (personal accounts) of the Central Depository, dividends will be paid through the branches of DSK Bank AD. Those with securities in Register B (client sub-accounts with an investment intermediary) will receive dividends through their respective investment intermediary, with assistance from the Central Depository.

After the expiry of the dividend payment term, shareholders who have not received their dividends may claim them within a five-year limitation period. Such shareholders can request payment directly from the Company in cash or via bank transfer by submitting an explicit request to Shelly Group SE. Any unclaimed dividends after the five-year period will be credited to the Company's Reserve Fund.

This announcement underscores Shelly Group's commitment to returning value to its shareholders. The company, headquartered in Sofia, Bulgaria, with dual listing on the Bulgarian Stock Exchange and the Frankfurt Stock Exchange (ticker: SLYG), continues to expand its footprint in the IoT and smart building solutions market. The dividend payment process is designed to ensure compliance with regulatory standards and provide clarity for shareholders. The five-year claim period offers ample time for shareholders to receive their dividends, while the eventual transfer to the Reserve Fund ensures that unclaimed amounts are utilized for the company's future growth. This structured approach reflects Shelly Group's governance practices and financial discipline.
